Business and Tax Information Certification

Account-owner authority, merchant identity, and tax-information attestation.

This Business and Tax Information Certification (the “Certification”) is made by the person accepting it on behalf of the business identified in the PhiXenia account record (“Company”). It supplements the PhiXenia Service Agreement and applies each time Company submits or updates business, ownership, banking, or tax information.

1. Authority to act

The person accepting this Certification represents that the person is at least 18 years old, is authorized to act for Company, and has authority to create the PhiXenia account, provide the submitted information, connect payment accounts, and bind Company to PhiXenia’s agreements.

2. Accuracy and completeness

Company certifies that all information submitted through the account-opening and verification process is current, complete, and accurate, including, as applicable:

  • Company’s legal name, trade or display name, entity type, principal business address, and operating locations;
  • Employer Identification Number or other taxpayer identification information, tax classification, and any exemption information;
  • the identity, title, and contact information of owners, controlling persons, and authorized representatives requested for account or payment verification;
  • business category, products and services, anticipated transaction activity, refund practices, website, and customer-facing descriptors; and
  • banking, payout, and payment-method information supplied directly to PhiXenia or a Payment Provider.

Company will not submit a false identity, use another person’s or entity’s tax information without authorization, disguise the nature of its business, or use PhiXenia to evade tax, financial, sanctions, or payment-network requirements.

3. Verification authorization

Company authorizes PhiXenia, its identity-verification vendors, and its Payment Providers to verify submitted information; request supporting documents; compare information against lawful public, commercial, banking, and government sources; and perform screening required by law, payment-network rules, fraud controls, or underwriting. Verification may include taxpayer-identification matching, sanctions screening, business-registration checks, and identity or beneficial-owner verification where applicable.

Company understands that this Certification does not replace a Form W-9, Payment Provider onboarding agreement, beneficial-ownership certification, or other form separately required by PhiXenia, a Payment Provider, or a government authority.

4. Tax responsibility

Company is the seller and merchant of record for its products and services unless an applicable written order expressly states otherwise. Company is responsible for determining, collecting, reporting, and remitting sales, use, admissions, excise, payroll, income, and other taxes arising from Company’s business. Tax settings or calculations made available through PhiXenia are tools only and are not legal, tax, or accounting advice.

PhiXenia or a Payment Provider may withhold amounts, collect backup withholding, issue information returns, or report transactions when legally required. Company authorizes lawful delivery of tax forms electronically to the account owner and agrees to keep its tax-contact information current.

5. Duty to update

Company will promptly update the account and notify legal@phixenia.com if any certified information becomes inaccurate or materially changes, including changes in legal name, ownership or control, tax classification, address, bank account, business model, products or services, or expected transaction activity. PhiXenia or a Payment Provider may limit, suspend, or delay account activation or payouts while updated information is reviewed.

6. Reliance and records

PhiXenia and its Payment Providers may rely on this Certification until Company provides an accepted update. Company authorizes PhiXenia to retain the Certification, related account records, and verification results for the period reasonably necessary to provide the services, satisfy legal and audit obligations, prevent fraud, and resolve disputes, as further described in the Privacy Policy and Data Processing Addendum.

7. Electronic acceptance

Checking the acceptance box and selecting “Continue to card verification” constitutes Company’s electronic signature and acceptance of this Certification. The acceptance record may include the signer’s name, Company, account identifier, document version, timestamp, IP address, device or session information, and the exact checkbox text displayed. Electronic acceptance has the same effect as a handwritten signature to the extent permitted by law.
